Terms and Conditions

1. Agreement Overview

These Terms and Conditions (the "Terms") govern your registration with and use of the Mig Mig platform (the "Platform") operated by PiTech Solutions Inc. ("Mig Mig", "we", "us", "our"). By registering, you ("you", "your", "tenant", "subscriber") enter into a legally binding service agreement with Mig Mig on the terms set out in these Terms, in our Privacy Policy & Electronic Signature Consent, and in the Service Agreement document presented to you on the registration page (collectively, the "Agreement").

2. Acceptance and Binding Nature

You accept the Agreement by ticking the "I agree" checkbox, completing the SMS verification step (where applicable), and submitting the registration form. Your acceptance is your binding electronic signature on the Agreement. You warrant that you are at least the age of majority in your jurisdiction, that you have the legal authority to bind the business identified on the registration form, and that all information submitted is true, current and complete.

3. Electronic Signature Authorization

By submitting the registration form you expressly and irrevocably authorize Mig Mig to apply your electronic signature to, and to execute on your behalf, the Service Agreement (and any ancillary documents that are substantively identical) using DocuSign, Inc. or a comparable e-signature provider, with your full name, email address, business name and IP address as captured during registration.

You acknowledge and agree that:

  • this electronic signature is legally equivalent to a handwritten signature and creates a binding agreement under the British Columbia Electronic Transactions Act, S.B.C. 2001, c. 10, the federal Personal Information Protection and Electronic Documents Act (PIPEDA), and the U.S. ESIGN Act and UETA where applicable;
  • the act of signing may be performed by an automated process operated by Mig Mig on your behalf, immediately after your registration is confirmed;
  • the resulting DocuSign envelope, signed PDF and Certificate of Completion — together with the registration metadata (including the IP address from which you submitted the form, the SMS verification record, and the acceptance timestamp) — constitute conclusive evidence of your acceptance of the Agreement;
  • you irrevocably waive any defence based on the absence of a wet-ink signature, the absence of physical presence at signing, the fact that the signature was applied by an automated process, or the fact that the IP address recorded by the e-signature provider on the Certificate of Completion may belong to Mig Mig's signing infrastructure rather than your personal device;
  • you will not dispute the authenticity, validity or enforceability of the Agreement on the basis that it was executed electronically or on your behalf in accordance with this Section 3.

If you do not consent to the electronic signing process described above, you must not complete the registration. You may instead contact info@pitech.ca to request a manual signing process.

4. Data Collection

We collect the information described in our Privacy Policy, including your full name, email address, phone number, business name, IP address, browser/device metadata, SMS verification records and the resulting signed Service Agreement and Certificate of Completion. This information is used for account creation, agreement execution, audit traceability and lawful business communications.

5. Service Agreement & Recordkeeping

The full Service Agreement is signed electronically as described above. The signed PDF and the DocuSign Certificate of Completion (which records the envelope identifier, signer identity, timestamps and the source IP of the signing request) are retained by Mig Mig and serve as the official audit trail of your acceptance. You may request a copy at any time by contacting support.

6. Tenant Account

Upon successful registration, a unique tenant account is created for your business and a tenant identifier is issued to you. You are responsible for all activity occurring under your tenant account and for keeping your account credentials secure.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Mig Mig and its affiliates, officers, employees, agents and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the Platform or with any dispute about the manner in which the Service Agreement was electronically signed.

8. Governing Law & Venue

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. The courts located in Vancouver, British Columbia shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement.

9. Amendments

We may update these Terms from time to time. The "Effective date" at the top of this page indicates the latest revision. Continued use of the Platform after an update constitutes acceptance of the updated Terms.
